Utorg Card Referral Program Rules and Conditions
1. Introduction
Welcome to our Utorg Card Referral Program ("Program"). These Rules and Conditions constitute an electronic agreement between you (hereinafter the "Referrer") and Utrg UAB (hereinafter the “utPay.io”, ”we”, ”us”, “our”), a company incorporated in Lithuania with Company No. 306062887, located at Vilnius, Kareivių g. 19-149, LT-09133, that applies to your participation in the Utorg Card Referral Program. By participating in the Program, you agree to comply with these Rules and Conditions (hereinafter - "Rules"). Please read them carefully.
2. Eligibility
2.1. The Program is open to individuals at least 18 years old with an active verified Utorg Card account with us.
2.2. Referrers and Referred Persons (commonly called “Participants”) must lawfully reside in a country where the Program is legally permissible.
2.3. The permitted countries are as follows: Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, Greece, Hungary, Iceland, Ireland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Ukraine.
2.4. To become the Referrer, the person should top up the Utorg Card from the Utorg non-custodial virtual currency (crypto) wallet linked to the account with 500 (five hundred) EUR.
3. Referral Process
3.1. As a Referrer, you should order a Utorg Card, pass the KYC verification process, and wait until you receive the card credentials.
3.2. After that, you must use the unique referral link in the “Invite friends” section.
3.3. You may share your referral link through lawful means, including email, social media, and personal websites.
3.4. To qualify, Referred Persons must complete the required actions as follows:
Use the deep link provided by the Referrer to download the Utorg App and sign up by connecting or creating the non-custodial virtual currency (crypto) wallet.
If the Invite Code has not been automatically accepted for some reason, enter it in the “Enter the Invite Code” field. This field can be found in the Settings tab.
Apply for a Utorg Card, successfully pass the KYC verification process and receive card credentials.
According to clause 2.2 of Rules, be the person who lawfully resides in the countries stipulated in clause 2.3 of Rules.
Top up the Utorg Card with the equivalent of 500 (five hundred) EUR, with a minimum top-up amount of 10 (ten) EUR each from the Utorg non-custodial virtual currency (crypto) wallet linked to the account, and perform successful payment transactions* of at least 500 (five hundred) EUR in total with a minimum spending amount of 1 (one) EUR through the POS or online terminals. Please be aware that the payments to the following MCCs will not be considered qualified: 6010, 6011, 4829, 5815, 5818, 6051, 6537.
*A transaction is deemed successful when the customer's payment is completed and the specified amount has been transferred from the customer's account to the merchant's account.
4. Rewards
4.1. Rewards will be issued for every qualified referral.
4.2. The reward amount is equivalent to 20 (twenty) EUR.
4.2. Rewards may be monetary (in EUR) or in another separately specified form.
4.3. Monetary rewards will be transferred to the Referrer’s Utorg Card account within 7 (seven) business days after the Referred Person completes the required action.
4.4. Rewards are transferable and may be exchanged for their equivalent value in another form if specified.
4.5. Referrers are solely responsible for any taxes associated with receiving rewards.
5. Prohibited Conduct
5.1. Participants must not:
Use false or stolen identities;
Use fraudulent means to generate referrals;
Create fraudulent schemes to misuse this Program;
Spam others with referral invitations;
Violate any applicable laws or third-party rights.
5.2. We reserve the right to disqualify any Participant, including the Referrer and the Referred Person, who engages in prohibited conduct.
6. Data Protection and Privacy
6.1. We will process personal data collected in connection with the Program in accordance with our Privacy Policy (https://utpay.io/privacy-policy) and the General Data Protection Regulation (GDPR).
6.2. Participants consent to the processing of their personal data for the purposes of administering the Program.
7. Termination and Modification
7.1. We reserve the right to terminate or modify the Program and these Rules at any time without notice.
7.2. Changes to the Program or Rules will be effective immediately upon posting on our website or Mobile Application.
8. Liability
8.1. We are not responsible for any technical issues, losses, or damages resulting from your participation in the Program.
8.2. Our liability is limited to the maximum extent permitted by law.
9. Governing Law and Dispute Resolution
9.1. These Rules shall be governed by the laws of The Republic of Lithuania.
9.2. Any disputes arising out of or in connection with the Program shall be resolved through mediation and, if unsuccessful, shall be subject to the exclusive jurisdiction of the courts of The Republic of Lithuania.
